1. Agreement to Terms

By accessing and using ConvAI Innovations Dashboard platform ("Service"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.

2. License Grant

Subject to your compliance with these Terms, Convai Innovations Pvt. Ltd. grants you a limited, non-exclusive, non-transferable, revocable license valid for 1 year to:

• Access and use the ConvAI Innovations Dashboard platform for 1 year
• Use the platform for personal educational purposes
• Download and use learning materials for personal use
• Renew your license yearly by paying ... when it expires

3. License Restrictions

You agree NOT to:

• Share your license key with others
• Resell, sublicense or rent access to the platform, or operate it as a service for third parties
• Reverse engineer, decompile, or disassemble the software
• Remove or modify any copyright, trademark, or proprietary notices
• Attempt to bypass license verification mechanisms
• Use the platform to create competing products or services
• Distribute or sublicense your access to the platform

4. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Be at least 13 years old (or have parental consent)
• Accept full responsibility for all activities under your account

5. Payment Terms

License purchases are processed through Razorpay. By making a purchase, you agree that:

• All prices are in Indian Rupees (₹) unless otherwise stated
• Current pricing is ... for 1 year access
• Pricing may change without notice for future renewals
• All sales are final - see our Refund Policy
• You authorize payment processing through our payment provider
• You are responsible for any applicable taxes
• Renewal is optional - pay only when you need continued access

6. License Activation & Duration

Each license is tied to specific hardware using a unique hardware fingerprint:

• One license per device (single activation)
• License is valid for 1 year from the date of purchase (...)
• Internet connection required for initial activation
• Offline mode available after activation
• Automatic validation when internet is available
• License can be deactivated and reactivated (contact support)
• Renewal required after 1 year - pay ... to renew for another year

7. Acceptable Use

You agree to use the Service only for lawful purposes. Prohibited activities include:

• Violating any applicable laws or regulations
• Infringing on intellectual property rights
• Uploading malware or malicious code
• Attempting to gain unauthorized access to systems
• Harassing or abusing other users or support staff
• Using automated tools to scrape or copy content

8. Intellectual Property

All content, features, and functionality of the Service are owned by Convai Innovations Pvt. Ltd. and are protected by:

• Copyright laws
• Trademark laws
• Trade secret laws
• Other intellectual property rights

The ConvAI logo, name, and all related marks are trademarks of Convai Innovations Pvt. Ltd.

9. Certificates

Certificates of completion are provided to paid users:

• Certificates are generated automatically after payment
• Each certificate includes a unique QR code for verification
• Certificates can be verified at our public verification portal
• We reserve the right to revoke certificates for violations of these terms
• Certificates are for personal use and educational purposes only

10. Termination

We reserve the right to terminate or suspend your account and license for:

• Violation of these Terms and Conditions
• Fraudulent activity or payment chargebacks
• Abusive behavior towards staff or other users
• Unauthorized sharing or distribution of licenses
• Any other reason at our sole discretion

Upon termination, your right to use the Service will immediately cease, and no refunds will be provided.

12. The AI Model

Nadhi Audit ships a fine-tuned language model that runs entirely on your machine. It is a derivative of Google Gemma 4, used under the Apache License 2.0. The full licence, the attribution notice and a statement of the changes we made are bundled with the application and readable from Settings → Licensing.

You may use the model commercially. Audit your own code, your employer's code, or your clients' code, in the course of business, at no additional fee. The reports, findings and patches it produces are yours — we claim no ownership over them and ask for no attribution.

There are two things these terms exist to prevent: reselling the model, and taking it out to use as your own. Everything else commercial is fine and needs no permission. If you are a consultancy, running Nadhi Audit yourself on a client's codebase and billing for the engagement is a normal licensed use — what you may not do is give that client access to the model itself.

The model weights themselves are licensed, not sold. You may NOT:

• Copy, publish, mirror, sell, rent, lend or otherwise redistribute the model files
• Extract the model from the application or run it under another runtime or product
• Host or serve the model as an API, endpoint, shared inference server or SaaS feature
• Use the model, its weights or its outputs to train, fine-tune or distil another model
• Create derivative weights by fine-tuning, merging, quantising or pruning
• Remove or obscure the licence, attribution or copyright notices bundled with it

The model is an analysis aid, not a security guarantee. It produces risk signals that require review by a qualified engineer. It will miss real vulnerabilities and report things that are not vulnerabilities. Its output is not a penetration test, an audit opinion or a certification, and you remain responsible for every change you accept from it.

13. Limitation of Liability

To the maximum extent permitted by law, Convai Innovations Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the license (...).

14. Updates to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We will provide notice of significant changes when feasible.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kasaragod, Kerala, India.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
